What the reinstatement clause in a Singapore office or shop lease requires

A reinstatement clause states the condition the premises must be in when the keys go back. This guide explains what the clause commonly requires, who interprets it, how the inspection and the deposit work, and what to send a contractor so the quotation matches the landlord's requirements.

What the clause means: original condition or bare shell

Most Singapore office and shop leases carry a clause that obliges the tenant to hand the premises back in a stated condition at the end of the term. The condition it refers to is the part to read first. It is commonly one of three: the condition recorded at handover, a bare shell with only the landlord's base finishes and services, or the condition shown in the approved fit out plans. A guide to commercial tenancy clauses published by SBO lists these same reference points and suggests identifying which one applies before costing the exit.

The wording decides how much work there is. Returning to the handover condition can mean removing only what the tenant added. Returning to bare shell commonly means stripping partitions, false ceilings, floor finishes, cabling and signage back to the landlord's slab and base walls, capping services and making good the surfaces left behind. Public landlords put it plainly. HDB states that before returning a shop or office the tenant must restore the premises to its original condition, including removal of all furniture, fixtures and fittings in accordance with the terms of the tenancy agreement.

Who decides the scope

The lease sets the obligation; the landlord or its managing agent applies it to the particular unit. In a shopping mall that is commonly the centre management, which signs off the completed works against its own handover requirements. In an office building it is the building management or the landlord's appointed agent. Ask in writing which reference condition applies and whether any installed items may stay, then keep the reply with the lease. Public landlords describe their own process. JTC states that it arranges a joint site inspection before the lease expires and then informs the lessee of the reinstatement requirements, taking into account the obligations in the lease agreement. For HDB shops and offices, the Ministry of National Development told Parliament in November 2019 that HDB allows outgoing tenants to retain fixtures and fittings that are in good and tenantable condition, approved by the relevant authorities and of use to the next tenant, giving floor tiles, power points and toilet fittings as examples.

Retail tenants have one more reference. Qualifying retail leases signed on or after 1 February 2024 must follow the Code of Conduct for Leasing of Retail Premises under the Lease Agreements for Retail Premises Act 2023. The Code does not fix a standard reinstatement scope, but paragraph 4.10 of Part B states that where the landlord ends the lease early for redevelopment the tenant must not be required to reinstate, and only has to remove signs, movable items, furniture and belongings, hand the premises over in a clean and safe condition and make good any damage caused by that removal.

The handover inspection and the deposit

Handover commonly runs in two steps: a joint inspection of the completed works, then the return of the keys. JTC describes a joint site inspection with the lessee. HDB asks tenants to make an appointment with its managing agents to return the keys at the unit and charges rent up to and including the day the keys are returned. Private landlords commonly follow a similar pattern set out in the lease: the tenant notifies completion, the landlord or agent inspects, items raised at the inspection are rectified, and the keys are handed over.

The security deposit is the landlord's security for the tenant's obligations, and reinstatement is one of them. The SBO guide notes that deductions can include reinstatement costs and that the deposit is not automatically the most a tenant can lose. The Code's sample clauses provide for the landlord to refund the security deposit without interest after proper deductions in accordance with the lease, and paragraph 8.1 of Part B caps the deposit at three months' gross rent for qualifying retail premises of up to 5,000 square feet on leases of up to three years. HDB states that if the tenant does not restore the premises it will carry out the reinstatement works and recover the costs, and that cash deposits are refunded by GIRO while bankers' guarantees are discharged if nothing is outstanding.

How office reinstatement is scoped and quoted

Timing: the lease end date is a completion date

The expiry date in the lease is the date the premises must already be in the required condition, not the date the works begin. JTC states that reinstatement works must be completed before the lease expiry date and that a lessee is liable for double rent from the expiry date if the works are not completed or it stays on. HDB charges rent until the day the keys are returned. A private lease commonly treats a late handover as holding over, on the terms written in the lease.

Tenants commonly plan backwards from the key return date. The usual order is: confirm the required condition and any retained items with the landlord, obtain quotations against that list, carry out the works, call the landlord's inspection, rectify anything raised, then return the keys. Each step depends on the building's permitted working hours, lift bookings and protection rules, so ask the contractor for its proposed sequence before fixing the move out date. The lead time depends on the unit and the building, so it belongs in the quotation for that unit rather than in a general guide.

Public sector landlords: JTC and HDB

JTC. The page Returning your premises upon lease expiry states that the lessee must reinstate the premises before returning them on the expiry date, that JTC contacts the lessee ahead of expiry to arrange a joint site inspection and then sets out the reinstatement requirements based on the lease, that an Environmental Site Assessment may be needed where the business handled pollutive materials, and that double rent applies from expiry if the works are incomplete. For land sites JTC also publishes site return guidelines dated July 2020 covering demolition, earthworks, turfing and survey, including carting debris to NEA approved disposal grounds; these apply to returning land rather than a unit inside a building.

HDB. The page Terminate Tenancy of HDB Shop or Office, last updated in January 2026, lists what to do before returning a unit: restore the premises to the original condition including removal of furniture, fixtures and fittings under the tenancy agreement, arrange for water, electricity and gas to be disconnected and meters removed, settle Service and Conservancy Charges with the Town Council, then return the keys by appointment through the managing agents. HDB says it will carry out the reinstatement and recover the costs if the tenant does not, and that the page is general information: where it differs from the tenancy agreement, the agreement prevails.

Approvals and disposal that sit inside the works

Removing partitions, ceilings or doors can affect sprinklers, detectors and escape routes. SCDF's lodgement scheme for minor addition and alteration works requires plans showing the layout of sprinklers and detectors and the details of partitions, submitted by a Qualified Person (a registered architect or professional engineer) who certifies whether the existing sprinkler or fire alarm systems were affected. Ask the landlord whether the original fit out had a fire safety submission, because the reinstatement may need one as well.

Renovation debris and unwanted furniture fall under Class A general waste in NEA's classification, and NEA publishes the list of licensed general waste collectors. GoBusiness states that a general waste collector licence is required for any company in the business of collecting or transporting general waste for payment (linked below). A reinstatement quotation should therefore state who removes the debris and that a licensed collector is used.

What to send a contractor for a quotation

A quotation is only comparable when every contractor prices the same list. Send the reinstatement clause from the lease, the landlord's or mall's handover requirements, the floor plan, photos of each room and the ceiling, the landlord's written reply on any items that may stay, the building's working hour and lift rules, and the date the keys must be returned. The honest next step

Reinstatement works are priced from the unit, not from a rate card, and this guide gives no figures. If the lease clause and the landlord's requirements are already in hand, a contractor can price the actual scope and flag the items that still need a site check. If they are not, ask the landlord for them first: a quotation prepared against the wrong reference condition is a common reason two quotations for the same unit differ.

What does a reinstatement clause in a Singapore lease require?

It requires the tenant to hand the premises back in the condition the lease names, commonly the handover condition, a bare shell or the approved fit out plans. HDB's published terms describe restoring the premises to the original condition and removing furniture, fixtures and fittings under the tenancy agreement. Read the clause for the reference condition first, then ask the landlord which items may stay.

Do HDB and JTC tenants have to reinstate?

Yes under their published terms. HDB requires the premises to be restored to the original condition under the tenancy agreement before the keys are returned, while allowing some fixtures in good condition to remain with its agreement. JTC requires reinstatement before the premises are returned on the expiry date and applies double rent from expiry if the works are not complete.

Does reinstatement need SCDF approval?

It can. Works that change partitions or affect sprinklers, detectors or the means of escape fall under SCDF's fire safety works, which a Qualified Person submits and certifies. Check whether the original fit out had a fire safety submission and ask the landlord and the contractor whether the reinstatement needs one.
